The specific scope, deliverables, timeline, and pricing for each engagement are defined in individual project proposals and agreements between the Company and the Client. These project-specific agreements take precedence over these general Terms where there is a conflict.
3. Engagement Process
Our standard engagement process is as follows:
- Initial Consultation: A free, no-obligation discussion to understand your requirements. No commitment is required at this stage.
- Proposal: Based on the consultation, we prepare a detailed proposal with scope, timeline, milestones, and pricing.
- Agreement: Work begins only after both parties have agreed on the proposal terms. Agreement may be confirmed via signed contract, email confirmation, or other mutually accepted methods.
- Execution: Work proceeds according to the agreed timeline with regular check-ins and progress updates.
- Delivery: Completed work is delivered as specified in the proposal, with post-delivery support as agreed.
4. Payment Terms
Payment terms are specified in each individual project proposal. General payment policies include:
- Payment schedules are defined in the project proposal and may include advance payments, milestone-based payments, or other arrangements as agreed.
- All prices quoted are in Indian Rupees (INR) unless otherwise specified.
- Applicable taxes (GST or other taxes as required by law) will be added to the quoted prices.
- Late payments may result in project delays or suspension of services until outstanding amounts are settled.

5. Intellectual Property

6. Confidentiality
We treat all Client information as confidential. This includes business plans, technical specifications, user data, financial information, and any other proprietary information shared during our engagement. We will not disclose your confidential information to third parties without your explicit consent, except as required by law or as necessary to provide our services (e.g., sharing relevant information with team members working on your project).
7. Client Responsibilities
To ensure successful project delivery, Clients are expected to:
- Provide accurate and complete information about their requirements and business needs.
- Respond to requests for feedback, approvals, and information within reasonable timeframes.
- Provide necessary access to systems, accounts, and resources as required for the project.
- Review and approve deliverables at designated milestones.
- Make payments according to the agreed schedule.
Delays caused by the Client's failure to meet these responsibilities may result in corresponding delays to the project timeline.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Setup With Anna shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services.
- Our total liability for any claim arising from our services shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.
- We are not liable for any losses resulting from factors beyond our reasonable control, including but not limited to changes in third-party platform policies, internet outages, or force majeure events.
9. Warranties and Disclaimers
We provide our services with professional skill and care. However:
- We do not guarantee specific business outcomes, revenue increases, or return on investment from our services.
- For digital marketing services, we do not guarantee specific search engine rankings, ad performance metrics, or traffic volumes, as these depend on many factors beyond our control.
- For app development services, we warrant that deliverables will function as specified in the agreed requirements. Post-delivery support for bug fixes is provided as specified in the project agreement.
10. Project Cancellation
Either party may request to cancel a project engagement. Cancellation terms are as follows:
- The Client may cancel a project at any time by providing written notice.
- Upon cancellation, the Client is responsible for payment for all work completed up to the date of cancellation.
- Any advance payments for work not yet completed will be handled as specified in the project agreement.
- We will provide all completed deliverables and work-in-progress materials to the Client upon cancellation and settlement of outstanding payments.
11. Dispute Resolution
In the event of any dispute arising from these Terms or our services:
- Both parties agree to first attempt to resolve the dispute through good-faith negotiation.
- If negotiation fails, the dispute shall be resolved through arbitration or mediation as mutually agreed.
- These Terms shall be governed by and construed in accordance with the laws of India, and any legal proceedings shall be subject to the jurisdiction of the courts in Bhavnagar, Gujarat, India.
